Terms of Service

1. Acceptance of terms
By creating an account or using Steadnex, you agree to these terms. They form a binding agreement between you and Steadnex, so please read them carefully. If you don’t agree with any part of them, don’t create an account or use the service. If you’re using Steadnex on behalf of a company or organization, you confirm that you have the authority to accept these terms for that entity.
2. The service
Steadnex helps owners of business entities — LLCs, corporations, and nonprofits — stay organized and on top of compliance. It keeps track of your companies, state filing deadlines and annual reports, registry good-standing status, documents, and offers an AI advisor to help you understand what’s ahead. Steadnex is an organizational tool, not legal, tax, or accounting advice. It is not a law firm, an accounting firm, or a registered agent. We give you a clearer picture of your obligations, but always confirm important decisions with a licensed professional such as an attorney or CPA.
3. Accuracy & your responsibility
The deadlines, state filing dates, registry data, good-standing status, and reminders shown in Steadnex are provided for your convenience and may be incomplete, delayed, or inaccurate. Government records, filing requirements, and due dates change often and vary by jurisdiction, and the data we pull from third-party and official sources can lag or contain errors. You are solely responsible for your own filings, deadlines, and compliance. You must verify all dates and requirements directly with the relevant government authority before you rely on them. Steadnex does not guarantee the accuracy, completeness, or timeliness of any information in the service, and is not liable for any missed deadline, penalty, late fee, loss of good standing, administrative dissolution, or any other loss that results from your reliance on it. Treat Steadnex as a helpful assistant, not as the final word.
4. Your account
You’re responsible for keeping your login credentials secure and for everything that happens under your account. Use a strong, unique password, don’t share your access, and let us know right away at hello@steadnex.com if you suspect any unauthorized use. You’re also responsible for making sure the information you enter is accurate and that you have the right to store it in Steadnex.
5. Acceptable use
Use Steadnex lawfully and respectfully. Don’t attempt to break, overload, probe, or reverse-engineer the service, interfere with other users, circumvent security or access controls, or use automated means to scrape or abuse the platform. Don’t upload or store unlawful, infringing, or harmful content, and don’t use Steadnex to violate the rights of others or any applicable law. We may suspend access that puts the service or other customers at risk.
6. AI features
Steadnex includes an AI advisor and AI-assisted tools that can generate plans, summaries, documents, and answers. This output is informational only. AI can be wrong, incomplete, or out of date, and it is not legal, tax, accounting, or professional advice. Read and verify anything the AI produces before you rely on it, and confirm important matters with a qualified professional. You are responsible for any decisions you make based on AI output.
7. Subscriptions, billing & cancellation
Paid plans renew automatically at the end of each billing period until you cancel. You can cancel anytime from your billing settings; your plan stays active and you keep access through the end of the period you’ve already paid for, and you won’t be charged again after that. Fees already paid are non-refundable except where a refund is required by law. We may change our pricing, but we’ll give you notice before a change affects your renewal. Payments are processed by our payment provider, Stripe; we don’t store your full card details.
8. Intellectual property
Steadnex owns the platform itself — the software, design, branding, and all content we create — and nothing in these terms transfers that ownership to you. You keep ownership of the data and documents you put into Steadnex. By using the service, you grant us the limited permission we need to store, process, and display your data so we can operate the service and provide its features to you, and nothing more.
9. Third-party services
Steadnex relies on trusted third-party providers to run — for example, hosting, database and storage, email delivery, official registry lookups, AI processing, and payments. These providers process data on our behalf under their own terms, and parts of the service depend on them. We’re not responsible for the actions, errors, outages, or availability of third-party services, and we can’t guarantee they will always be accurate or uninterrupted.
10. Disclaimer of warranties
The service is provided “as is” and “as available,” without warranties of any kind, whether express or implied. To the fullest extent permitted by law, we disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant that the service will meet your requirements or that any information in it is accurate, complete, or current.
11. Limitation of liability
To the fullest extent permitted by law, Steadnex will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any lost profits, lost data, or loss of good standing, arising out of or relating to your use of the service — even if we’ve been advised that such damages are possible. Our total aggregate liability for any claim relating to the service is limited to the greater of the fees you paid to Steadnex in the twelve months before the claim or US$100. Some jurisdictions don’t allow certain limitations, so some of these may not apply to you.
12. Indemnification
You agree to defend, indemnify, and hold harmless Steadnex and its team from any claims, damages, losses, and costs (including reasonable legal fees) arising from your misuse of the service, your violation of these terms or any law, or the content and data you store in Steadnex.
13. Termination
We may suspend or terminate your access if you violate these terms or use the service in a way that harms Steadnex or other users. You can stop using Steadnex and close your account at any time. Before you leave, you can export your data from your account settings. After termination, the sections of these terms that by their nature should survive — such as accuracy and responsibility, disclaimers, limitation of liability, and indemnification — will continue to apply.
14. Changes to these terms
We may update these terms from time to time as the service evolves or the law changes. When we make a material change, we’ll update the “last updated” date above and, where appropriate, let you know. Your continued use of Steadnex after a change takes effect means you accept the updated terms.
15. Governing law
These terms are governed by applicable law, without regard to conflict-of-law rules. Any disputes will be resolved in the courts of the applicable jurisdiction.
